3. Explanation

   Please explain in a clear and comprehensive manner why the award of the contract without prior publication in the Official Journal of the European Union is
   lawful, by stating the relevant facts and, as appropriate, the conclusions of law in accordance with the directive: (500 words maximum)
   The University of Leeds intends to enter into a contract with Nion Company to purchase a component that will form an integral part of a electron energy loss spectrometer, designed, manufactured and sold by Nion company.
The existing equipment was designed and manufactured by Nion Company. All of the required upgrades will be mechanically integrated into the existing equipment, all of the required upgrades will be interfaced with the existing software control system. Introduction of 3rd party products and services would not be compatible with the operation and maintenance of the existing equipment.
